## 1. Acceptance of These Terms
These Terms of Service (“Terms”) govern access to and use of the SP Nutrition website, Shopify-powered online store, content, products, and related services (collectively, the “Services”). By accessing the Services or placing an order, you agree to these Terms and the Privacy Policy, Refund, Return, and Cancellation Policy, and Shipping Policy.
If you do not agree, do not use the Services or place an order.
## 2. Eligibility and Lawful Use
You must be at least the age of majority in your jurisdiction or have the involvement and consent of a parent or legal guardian where permitted. You may use the Services only for lawful, personal purposes and in compliance with these Terms.
## 3. Dietary Supplement and Health Disclaimer
SP Nutrition sells magnesium glycinate gummies as a dietary supplement. Product information is provided for general informational purposes and is not medical advice or a substitute for advice, diagnosis, or treatment from a qualified healthcare professional.
**These statements have not been evaluated by the Food and Drug Administration. This product is not intended to diagnose, treat, cure, or prevent any disease.**
Individual experiences vary, and no specific result is guaranteed. Read and follow the product label. Do not exceed the labeled serving. Consult a qualified healthcare professional before use, particularly if you are pregnant or nursing, have a medical condition, take medications or other supplements, are preparing for surgery, or have questions about whether the product is appropriate for you. ## 4. Product Information
We make reasonable efforts to present accurate product descriptions, ingredient information, images, pricing, and availability. Packaging and appearance may change, and colors or proportions may vary by device or production batch. Always review the physical product label before use.
We may correct errors, update information, change prices, limit quantities, or discontinue products without prior notice. Nothing on the Services is a guarantee of availability.
## 5. Orders
Submitting an order is an offer to purchase. We may accept, reject, limit, or cancel an order for reasons including suspected fraud, payment issues, inventory limitations, inaccurate information, pricing or listing errors, legal restrictions, or suspected resale.
An order is accepted when we confirm acceptance or begin fulfillment. You represent that all order, billing, payment, and shipping information is accurate and that you are authorized to use the payment method submitted.
Products are offered for personal use unless SP Nutrition agrees otherwise in writing.
## 6. Prices, Taxes, and Payment
Prices and promotions may change without notice. You agree to pay the price and charges shown at checkout. Customers may be responsible for destination-country customs duties, taxes, VAT, brokerage charges, and other import fees unless checkout expressly states otherwise.
Payments are processed through Shopify and/or third-party payment providers and may be subject to their terms.
## 7. Shipping
Orders are subject to the Shipping Policy. Normal processing time is 1–3 days, followed by an estimated shipping time of 7–12 days. Tracking is provided for all orders. Delivery estimates are not guarantees.
Customers are responsible for accurate shipping information. No refund will be provided for an order sent to the wrong address because of inaccurate or incomplete information supplied by the customer, except where required by law.
## 8. Final Sale Policy
All sales are final. Except where mandatory law provides otherwise, orders may not be canceled, returned, exchanged, or refunded. Full details and legally required exceptions are stated in the Refund, Return, and Cancellation Policy.
## 9. Intellectual Property
The Services and their content—including brand names, logos, graphics, photographs, videos, product descriptions, designs, and written material—are owned by or licensed to SP Nutrition and are protected by applicable intellectual-property laws.
You may use the Services only for personal, noncommercial purposes. You may not copy, reproduce, scrape, republish, distribute, modify, sell, exploit, or create derivative works from the Services or their content without prior written permission, except where law permits.
## 10. Reviews and Submissions
If you submit a review, image, video, suggestion, or other content, you represent that you have the right to do so and that the content is accurate, lawful, and does not violate another person’s rights.
You grant SP Nutrition a nonexclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and adapt that content in connection with operating, improving, and promoting the Services, subject to applicable law. We may remove content that is unlawful, misleading, offensive, infringing, or otherwise violates these Terms.
## 11. Prohibited Conduct
You may not:
- Use the Services for an unlawful, fraudulent, abusive, or deceptive purpose.
- Infringe intellectual-property, privacy, publicity, or other rights.
- Submit false information or impersonate another person.
- Introduce malware or interfere with the operation or security of the Services.
- Circumvent technical restrictions, access controls, or purchase limits.
- Scrape or automatically access the Services without authorization.
- Use the Services or products for unauthorized resale or commercial exploitation.
We may restrict or terminate access when we reasonably believe these Terms have been violated.
## 12. Third-Party Services and Links
The Services may include third-party tools, payment services, applications, or links that SP Nutrition does not control. Your use of them may be subject to separate terms and privacy policies. To the extent permitted by law, SP Nutrition is not responsible for third-party services, websites, content, or practices.
## 13. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” We do not guarantee uninterrupted, error-free, or completely secure operation, or that every product will produce a particular result.
Nothing in these Terms excludes a warranty, guarantee, right, or remedy that cannot legally be excluded.
## 14. Limitation of Liability
To the fullest extent permitted by law, SP Nutrition and its owners, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising from the Services or products.
Where liability cannot be excluded, it will be limited only to the maximum extent permitted by applicable law. These Terms do not limit liability for fraud, willful misconduct, personal injury caused by negligence where limitation is prohibited, or any other liability that cannot lawfully be limited.
## 15. Indemnification
To the extent permitted by law, you agree to indemnify SP Nutrition and its owners, employees, contractors, and service providers from claims and losses arising from your unlawful use of the Services, material breach of these Terms, or infringement of another person’s rights. This provision does not apply to the extent a loss was caused by SP Nutrition or the indemnity is prohibited by law.
## 16. Governing Law
These Terms are governed by applicable laws of the United States and the state in which SP Nutrition is legally established, without regard to conflict-of-law principles. This section does not deprive a consumer of mandatory protections available under the law of the consumer’s place of residence.
## 17. Severability and Waiver
If a provision is found unlawful or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of it.
## 18. Changes to These Terms
We may update these Terms by posting a revised version with a new effective date. Changes apply prospectively to the extent required by law.
